This agreement outlines the structure and boundaries of service coordinated through CalmAway Care. It is provided for transparency and clarity before booking.

Parent Service Agreement

This Parent Service Agreement (“Agreement”) is entered into by and between CalmAway Care, LLC (“CalmAway Care”) and the undersigned parent or legal guardian (“Parent”).
By engaging CalmAway Care’s referral and coordination services, Parent agrees to the following terms:
1. Nature of Services
CalmAway Care provides referral and coordination services only.
CalmAway Care:
Conducts consultation and intake screening
Identifies potential independent Helpers
Facilitates introductions between Parents and Helpers
CalmAway Care does not provide direct childcare services.
Any services provided to the child are arranged directly between the Parent and the independent Helper.
2. Independent Contractor Relationship
Helpers introduced through CalmAway Care are independent contractors.
CalmAway Care:
Does not employ Helpers
Does not supervise sessions
Does not control hours, conduct, or performance
Does not provide training, instruction, or oversight
Is not responsible for wages, taxes, or employment matters
Parent acknowledges that any agreement for childcare services is strictly between Parent and the Helper.
3. Screening & Background Checks
CalmAway Care may conduct preliminary screening of Helpers, including interviews, reference checks, and background screenings, where available.
However, Parent acknowledges that:
Screening does not guarantee suitability or performance
CalmAway Care does not guarantee ongoing compliance
Parent is responsible for conducting any additional due diligence they deem necessary
4. Non-Medical Scope of Services
CalmAway Care does not provide:
Medical services
Therapy or behavioral intervention
Clinical supervision
Medication administration
Transportation
Emergency response services
Parents remain solely responsible for all medical, therapeutic, and emergency decisions regarding their child.
5. Parent Responsibilities
Parent agrees to:
Provide accurate and complete information regarding the child’s needs
Disclose medical conditions, allergies, behavioral considerations, and safety concerns
Maintain a safe environment during services
Remain reachable and available during sessions
Provide emergency contact information
Failure to disclose relevant information may impact service compatibility.
6. Referral & Coordination Fee
CalmAway Care charges a flat referral and coordination fee for consultation, screening, and introduction services.
The referral fee:
Covers consultation and matching services
Is earned upon introduction of a qualified Helper
Is non-refundable once an introduction has been made
Does not include payment for childcare services
Parents negotiate rates and compensate Helpers directly.
CalmAway Care does not handle payments between Parents and Helpers.
7. No Guarantee of Services
CalmAway Care makes reasonable efforts to identify potential matches but does not guarantee:
Availability of Helpers
Compatibility
Quality of care
Continued service
Outcomes of services
If a Helper becomes unavailable prior to service, CalmAway Care will make reasonable efforts to provide an alternative referral.
8. Assumption of Risk
Parent acknowledges that childcare and respite services involve inherent risks.
By engaging an independent Helper, the Parent voluntarily assumes responsibility for their child’s supervision and care.
9. Indemnification
Parent agrees to indemnify and hold harmless CalmAway Care, LLC from any claims, damages, losses, liabilities, or expenses arising from:
Services provided by an independent Helper
Acts or omissions of Parent
Inaccurate information provided by Parent
10. Limitation of Liability
To the fullest extent permitted by law, CalmAway Care, LLC shall not be liable for:
Direct, indirect, incidental, or consequential damages
Injury, loss, or harm arising from services provided by independent Helpers
Disputes between Parent and Helper
CalmAway Care’s total liability shall not exceed the amount of the referral fee paid.
11. Governing Law
This Agreement shall be governed by the laws of the State of __________.
12. Repeat Engagement & Non-Circumvention
Any Helper introduced to Parent by CalmAway Care shall be considered a CalmAway Care referral.
For a period of twelve (12) months following the initial introduction, Parent agrees not to directly or indirectly engage, contract with, or compensate a referred Helper for services arranged independently of CalmAway Care without prior written consent.
If the Parent chooses to re-engage a referred Helper within this 12-month period for future travel or respite support, CalmAway Care may charge a reduced coordination fee for continued matching, scheduling, and administrative support.
If Parent engages a referred Helper independently within the 12-month period without coordination through CalmAway Care, Parent agrees that CalmAway Care shall be entitled to a coordination fee equal to the standard referral fee in effect at the time of the independent engagement.
Parent acknowledges that this provision is reasonable and necessary to protect CalmAway Care’s business interests.
CalmAway Care values long-term relationships and aims to make continued coordination simple, affordable, and supportive for families.
13. Acknowledgment
By paying the referral fee or requesting introduction services, Parent acknowledges that they have read, understood, and agreed to this Agreement.
